- Professional Expertise: Significant time and expertise are invested from the moment you engage us, including initial consultations, due diligence, and preparation of documentation.
- Third-Party Costs: We often incur non-recoverable third-party costs, such as government registration fees, legal fees, courier charges, and bank application fees, immediately upon commencement of work.
- Jurisdictional Requirements: Many processes, particularly company formation and licensing, are subject to the regulations and timelines of specific jurisdictions, which are beyond our control.
Therefore, refunds are generally limited and subject to specific conditions outlined below.
2. Eligibility for Refunds
Refunds may be considered only under the following circumstances:
2.1. Service Not Commenced:
If you request a cancellation and refund before Berdain LLP has commenced any substantial work on your behalf, including but not limited to:
- Initiating due diligence procedures.
- Preparing or submitting any application forms or documents to third parties (e.g., government registries, banks, licensing authorities).
- Incurring any non-recoverable third-party costs.
In such cases, a refund of the fees paid to Berdain LLP, less an administrative processing fee (typically 10-20% of the service fee, or a minimum of £250, whichever is higher) and any payment gateway charges, may be issued.
2.2. Berdain LLP's Inability to Provide Service:
If Berdain LLP is unable to provide the agreed-upon service due to a fault on our part (excluding circumstances beyond our reasonable control, such as changes in law, governmental delays, or client's failure to provide required information), a full or partial refund may be issued, depending on the extent of the service provided.
3. Non-Refundable Items and Situations
Unless explicitly stated otherwise in a specific service agreement, the following are generally non-refundable:
3.1. Government Fees and Third-Party Disbursements:
All government fees, registration fees, licensing fees, bank application fees, courier charges, legal fees paid to third parties, and any other disbursements incurred by Berdain LLP on your behalf are strictly non-refundable once paid or committed, regardless of whether the service is completed or not.
3.2. Due Diligence and Compliance Fees:
Fees associated with conducting Know Your Customer (KYC), Anti-Money Laundering (AML), and other compliance checks are non-refundable once these checks have been initiated.
3.3. Services Commenced or Completed:
No refunds will be issued for services where substantial work has already commenced or been completed, even if the desired outcome (e.g., company formation, bank account opening) is not achieved due to reasons beyond Berdain LLP's control (e.g., client failing due diligence, bank declining application, changes in client's circumstances, or client's failure to provide required information).
3.4. Advisory and Consultation Fees:
Fees for initial consultations, advisory services, or bespoke research are non-refundable once these services have been rendered.
3.5. Virtual Office and Corporate Secretary Retainers:
Monthly or annual retainer fees for virtual office or corporate secretarial services are non-refundable once the service period has commenced.
3.6. Client Non-Compliance:
No refunds will be issued if the service cannot be completed or is terminated due to the Client's failure to:
- Provide accurate, complete, and timely information or documentation.
- Pass due diligence checks.
- Comply with any legal or regulatory requirements.
- Respond to requests from Berdain LLP or third parties in a timely manner.
4. Refund Request Process
To request a refund, you must submit a written request to info@berdain-llp.com, clearly stating:
- Your full name and contact details.
- The specific service(s) for which you are requesting a refund.
- The date of payment and invoice number.
- A detailed reason for the refund request.
All refund requests will be reviewed on a case-by-case basis. We will notify you of the approval or rejection of your refund request within a reasonable timeframe (typically 10-15 business days).

If a refund is approved:
- Refunds will be processed to the original method of payment used for the transaction.
